Seat terms — Groundworks AI

1. What this is

Someone at a business that subscribes to Scout Team (the account holder) has invited you to a seat on their account. These terms are between you and Groundworks AI (Groundworks Marketing AI Oy, Business ID 3625461-9, Toinen Linja 3 B 24, 00530 Helsinki, Finland). The account holder's own subscription is covered by our Terms of Service, which is a separate agreement between them and us.

You must be at least 18 and using your seat for the account holder's business.

2. What a seat gives you

Scout writes posts in your own voice, for the account holder's business, from what you give it and what the account holder's account holds. You review every post before it is used. Nothing is published until you approve it. The account holder can see your seat's activity but does not approve your posts for you. The account holder sees your name, email, role and whether you have been using your seat recently; inside Scout they do not see your drafts or posts.

2a. Admins and assigned work

Admins. The account holder may make you an admin. An admin acts for the account holder: they may assign work, approve content for the account, connect the account's tools with their own sign-in, and invite people into the seats the account includes. An admin cannot change billing or the plan. A tool you connect for the account may stop working when you leave, because the sign-in is yours. Clauses 8 and 9 apply to admins as to every seat-holder.
Assigned work. Work assigned to you (a content lane, a campaign, the company page) is the account holder's work, done for their business. It belongs to them, and it goes back to them when the assignment or your seat ends.
The company page. If you are asked to hold the company's LinkedIn page, you confirm that you are an admin of that page and may post for it. Scout drafts company posts for you; you post them yourself. We do not check your confirmation with LinkedIn, and we do not post to the page.

3. Your review responsibility

Posts are generated using artificial intelligence (Anthropic's Claude). They can contain errors or material that resembles someone else's. Read every post before you approve it. Approving a post confirms you have reviewed it and are content for it to be used under your name.

4. Using your seat properly

Our acceptable-use rules in clause 7 of the Terms of Service apply to you as they do to the account holder. Do not upload anything you have no right to share, and do not submit special-category personal data (for example health data) about yourself or anyone else.

5. What is yours

Your own material (your writing sample, your notes, anything private you give Scout) stays yours. You let us use it only to run your seat.
Posts you approve are published for the account holder's business, and stay with them when your seat ends, still under your name, marked "former seat".

6. Your personal data

How we handle your data is set out in the Privacy Notice, section 2a "If you were invited to a seat". In short: we hold it to run your seat, and we never use it to market to you unless you tick the separate box.

7. Ending your seat

The account holder can remove your seat at any time, either at once or at the end of their billing period. Your seat also ends if their subscription ends.
When your seat ends, posts already published stay with the account holder, marked "former seat", and your LinkedIn connection is ended.
We are changing what happens to your voice profile when a seat ends. It will leave the account holder's account at once, and we will keep the personal part of it (how you write, what you avoid, your phrasing and your topics) for you for 30 days, so you can start your own Scout with it, download it or delete it. You will also be able to leave a seat yourself at any time. Until these changes are live, your voice profile and writing sample stay in the account holder's account after your seat ends, until you or they ask us to delete them or the account ends. You can ask us at any time at privacy@groundworksai.com.

8. Liability

You pay nothing for your seat. To the extent the law allows, we provide it as it is, and our total liability to you under these terms is limited to €100. Nothing here limits liability that cannot be limited by law.

9. Changes and law

We may update these terms. If a change matters, we will ask you to accept the new version in the product. Finnish law applies, and the Helsinki District Court is the court of first instance, as in the Terms of Service.
